I’ve filed my business with the Secretary of State. Do I need to do anything else?

Yes. You should have documentation to show the ownership of the company, how decisions are made and if you have more than one owner, documentation of how things work if a co-owner wants or has to leave the company. If you don’t have these documents, Minnesota statute will dictate, among other things, how your decisions are made. That can pose a big problem. For example, Minnesota changed their laws regarding LLCs as of August 1st. One important change is that instead of presuming authority in proportion to ownership, authority is based on the number of owners. For example, one person owning 99% of the interests has equal say with another owning only a 1% interest. As of 2018, all LLCs in Minnesota will be subject to these new rules. If you don’t have documentation showing otherwise, the new laws apply to you. If you are setting up a new business or if you currently have a business, our office can create documents to show how you want it to run or review your documents to make sure the new laws won’t affect you.
